Terms and Conditions of Sale

INTRODUCTION

These General Terms and Conditions of Sale (hereinafter the “GTC”), together with the website terms of use (hereinafter the “Website Terms”), set out the terms governing the use of this website (barazzoni.it) and the purchase of items offered for sale through the website (hereinafter the “Terms”).

The Seller reserves the right to amend these GTC at any time. Any amendments to the GTC shall apply exclusively to new orders placed after the amended version has been published on the Website.

Before using this website and/or placing an order, the Customer is invited to carefully read these Terms, the Cookie Policy and the Personal Data Protection Notice (hereinafter collectively the “Data Protection Policies”).

By using this website or placing an order through it, the Customer fully accepts these Terms and the Data Protection Policies without reservation. If the Customer does not agree with all of the Terms and the Data Protection Policies, they are invited not to use this website.

The GTC may be printed, downloaded and/or stored by customers.

This Website is intended exclusively for sales to adult consumers (hereinafter the “Customer”). The products offered on the Website are not intended for resale. Orders for quantities exceeding typical personal use are not permitted.

For any request, doubt or question regarding the Terms and the Data Protection Policies, the Customer may contact the Seller through the customer support channels indicated in the “Support” section of our website.

The Contract (as defined below) may be concluded, at the Customer’s choice, in either of the two languages (Italian and English) in which the Terms are available on this website.

BARAZZONI S.p.A. is the selling party, i.e. the “Seller”, under these general terms and conditions of sale. The Seller is responsible for each sale concluded through this Website.

BARAZZONI Customer Service is fully available to the Customer for any issues that may arise, including information requests and the legal warranty obligations set out below.

YOUR DETAILS AND YOUR ACCESS TO OUR WEBSITE

The information or personal data provided by the user will be processed in accordance with the Data Protection Policies. By using the website, the Customer authorizes BARAZZONI S.p.A. to process such information and personal data and declares that all information and/or personal data provided is accurate and truthful.

USE OF OUR WEBSITE

  1. You agree to use the website only for making enquiries or placing legally valid orders.
  2. You undertake not to place false or fraudulent orders. If the Seller has reasonable grounds to believe that such an order has been placed, the Seller shall be entitled to cancel it and inform the competent authorities.
  3. You agree to provide the Seller with your email address, postal address and/or other contact details truthfully and correctly; you consent to the use of such information to contact you if necessary. If all necessary information is not provided, the Seller will be unable to process the order.
  4. You confirm that you are at least 18 years of age and have the legal capacity to enter into binding contracts.

PURCHASING PROCEDURE AND CONCLUSION OF THE CONTRACT/ORDER AND ACCEPTANCE

The Customer selects products by clicking on the relevant images. The selected products will be placed in the shopping cart; Customers may then place their orders by completing the order form and accepting these GTC. Before submitting an order, the Customer must verify the accuracy of the information provided and make any necessary corrections. A purchase order is submitted to the Seller when the Customer selects the “Buy” option, shortly after which the Customer will receive an email confirming receipt of the order. Customers may regularly access updated information on the status of their orders through the personal area of the Website / their accounts.

An order submitted by a Customer constitutes an offer to purchase the selected products among those offered for sale by the Seller. Orders are subject to the Seller’s acceptance, which will be communicated by means of an acceptance email within 10 (ten) calendar days from the submission of the order.

To place an order, the Customer must follow the online purchasing process and click “Pay now”. The Customer will then receive an email confirming receipt of the order (the “Order Confirmation”). It is understood that this does not constitute acceptance of the order, as the order represents an offer made by the Customer to the Seller for the purchase of one or more products. The Seller may refuse to accept any order at its discretion.

All orders are subject to the Seller’s approval. The Customer will be informed of such approval by means of an email confirming that the order is being shipped (the “Shipping Confirmation”). Order details will be summarized in the shipping receipt attached to the email. The contract for the purchase of a product between the Seller and the Customer (the “Contract”) shall be deemed concluded only when the Customer is sent the Shipping Confirmation.

Once submitted by the Customer, the Order can no longer be modified or cancelled.

If the Customer wishes to cancel or modify the Order, they must wait to receive the order and, if applicable, exercise the right of withdrawal. If the Order is refused by the Customer, all shipping costs will in any case be charged to the Customer.

Only the products indicated in the Shipping Confirmation will be covered by the Contract. The Seller shall not be obliged to supply any other products that were not ordered unless it has been confirmed in the Shipping Confirmation that such products have been shipped.

All orders, prior to fulfilment, are subject to authenticity checks carried out directly by the relevant credit card issuing institutions, for the Customer’s protection. If, for any reason, it is not possible to charge the amount due, the sale process will be automatically cancelled and the sale will be terminated pursuant to Art. 1456 of the Italian Civil Code. The Customer will be informed via an automatic email notification.

Payment-related communications and the data provided by the Customer at the time of payment are transmitted via protected lines and with all guarantees ensured by the use of the security protocols provided by the payment circuits. Barazzoni S.p.A. uses UniCredit’s payment gateway.

PRODUCT AVAILABILITY

All product orders are subject to availability. In this respect, in the event of supply issues or if items are out of stock, the Seller reserves the right to provide the Customer with information regarding substitute products of equal or higher quality and value, which the Customer may decide to order. If the Customer does not wish to order such substitute products, the Seller will refund any amounts already paid by the Customer.

REFUSAL TO PROCESS AN ORDER

The Seller reserves the right to change the range of products displayed on the website at any time, including by removing any product from this website and/or deleting or modifying any material or content on it.

Although the Seller will always make every effort to process all orders, exceptional circumstances may arise that require the Seller to refuse to process orders even after the Order Confirmation has been sent. The Seller reserves the right to do so at any time.

The Seller disclaims any liability to the Customer or to third parties for removing any product from this website, for deleting or modifying any material or content on the website, or for failing to process an order after sending the Order Confirmation.

The Seller reserves the right to cancel a sales contract with any Customer with whom there is an ongoing dispute, or if the Customer has violated the General Terms and Conditions of Sale during a previous purchase.

PRICES AND PAYMENT TERMS

Product prices include VAT, but do not include shipping costs.

Product prices on the Website are stated in Euro and are those in effect at the time the Customer submits the Order. They include VAT or other applicable sales taxes in the Seller’s country.

The prices shown on the Website do not include delivery costs or any customs duties or sales taxes applicable in the country where the products will be delivered, which shall be added to the total amount payable.

Shipping costs vary depending on the shipping method selected by the Customer when submitting the Order and are displayed in the Order summary before the Customer is asked to confirm the Order.

The Seller reserves the right to change product prices displayed on the Website, or to correct any errors or inaccuracies, at any time and without prior notice. Any such change will be communicated to the Customer before the submission of any Order.

If, before accepting an order, the Seller discovers an error in the price of the products ordered by the Customer, the Seller will inform the Customer as soon as reasonably possible. The Customer will then have the option to reconfirm the order at the correct price or to cancel the order. If the Seller is unable to contact the Customer using the contact details provided during the ordering process, the order will be deemed cancelled and the Customer will be notified by email.

The Seller shall not be obliged to supply the product(s) at the lower incorrectly stated price (even if the Shipping Confirmation has already been sent) if the pricing error was obvious and unequivocal and could reasonably have been recognized by the Customer as incorrect.

PAYMENT

All Orders must be paid in Euro, including taxes and mandatory contributions. Any bank charges shall be borne exclusively by the Customer (including in the event of a refund).

ACCEPTED PAYMENT METHODS

The payment methods accepted by the Seller are indicated at the beginning of the ordering process and are as follows:

  • Credit / debit card (Visa, Mastercard, American Express, Apple Pay, GPay, shop, UnionPay)
  • PayPal
  • Klarna

To reduce the risk of unauthorized access, card details will be encrypted.

The charge will be made at the time the order is placed.

By clicking “Buy now”, the Customer confirms that the credit card belongs to them.

Credit cards are subject to verification and authorization by the card issuer. If the issuer does not authorize payment, the Seller will not be liable for any delay or failure to deliver and will not be able to conclude any Contract with the Customer.

PAYPAL PAYMENTS

The Customer acknowledges and agrees that, for payments made via the PayPal platform, if the Customer requests cancellation of an order, the amount to be refunded will be reduced by the above-mentioned non-recoverable fees, which will be retained as a contractual penalty and to cover transaction-related handling costs.

INVOICE

Purchase invoices, if requested, will be sent by email.

SHIPPING METHODS

The total shipping cost will be displayed before proceeding with order confirmation.

Shipping costs vary depending on the total order amount:
Free delivery to our company-owned stores (Barazzoni Factory Store) or authorized retailers (Barazzoni Point).
Free home delivery* for orders with a total amount exceeding €69.90. Free shipping applies throughout Italy.

Shipping cost of €7.90 (VAT included) for orders with a total amount equal to or less than €69.90 (unless otherwise specified by promotions or special shipping offers).

Goods shipped within Italy are delivered at street level.

* Deliveries to islands, minor islands, free zones, the Venetian Lagoon area, Campione d’Italia, Vatican City, and Livigno are excluded and may be subject to additional charges. Goods shipped within Italy are delivered at street level.

INTERNATIONAL SHIPPING

We ship to all countries within the European Union at the following rates:

SHIPPING TIMES

Shipping times within Italy are as follows:

Order delivery within 7 business days.
Delivery times for international orders may vary depending on the destination country.

Please note: Order preparation and delivery times may not be guaranteed during specific periods, such as major promotional events, the company’s summer closure in August, or the Christmas holiday closure in December/January, or due to circumstances beyond the control of Barazzoni S.p.A. (e.g. transport strikes). In such cases, Barazzoni S.p.A. will make every reasonable effort to ensure delivery within 14 days from the order date, and in any case no later than 30 days.

 

DELIVERY

Products sold through the Website can be delivered to the following countries:

Italy, Germany, Austria, Belgium, France, Luxembourg, Netherlands, Czech Republic, Denmark, Spain, Croatia, Hungary, Ireland, Poland, Sweden, Slovenia, Northern Ireland, Bulgaria, Cyprus, Estonia, Finland, Greece, Lithuania, Latvia, Malta, Portugal, Romania, Slovakia.

Unfortunately, orders for delivery to countries other than those listed above cannot be accepted.

Products will be delivered to the address indicated in the order within the timeframe stated in the order acceptance and, in any case, no later than 30 days from the order date, as required by applicable law.

BARAZZONI S.p.A. will deliver the selected and purchased products via express courier to the address provided by the Customer at the time of ordering, as confirmed in the confirmation email.

No deliveries will be made to P.O. boxes.

Please note that home deliveries are not made on Saturdays and Sundays.

Delivery will be made only to adults. The Customer acknowledges that any person at the delivery address is authorized to accept delivery.

Without prejudice to the provisions on product availability and unless extraordinary circumstances occur, the Seller undertakes to use all reasonable efforts to dispatch the order and issue the relevant Shipping Confirmation by the date indicated.

However, delays may occur for various reasons, such as unforeseen circumstances or the delivery area.

If, for any reason, the Seller is unable to meet the delivery timeframe, the Seller will inform the Customer and provide the option to continue the purchase by setting a new delivery date or to cancel the order, with a refund of the full amount paid.

Orders placed on Saturday and Sunday will be processed on the first next available business day, excluding public holidays. During company closure periods (summer closure in August and Christmas closure in December/January), orders will be processed upon reopening.

“Delivery” shall be deemed to have occurred when the Customer, or a third party designated by the Customer, acquires physical possession of the product(s).

In the case of collection at a company-owned store (Barazzoni Factory Store) and/or at a retailer (Barazzoni Point), the Customer will be asked to sign the delivery document.

If delivery is made to the Customer’s address by courier, the Customer may be asked to sign electronically.

The risk of loss of, or damage to, the ordered products passes to the Customer upon delivery.

If the Seller has communicated a delivery time and delivery was not possible for reasons attributable to the Customer, the Seller reserves the right to charge the Customer the delivery costs and, where applicable, claim further damages.

Upon receipt, the Customer must check that the packaging is intact before signing the delivery note. If the parcel shows any visible defects (e.g. damaged packaging, non-compliant packaging, missing items, etc.), the Customer must accept the delivery subject to reservation, clearly and specifically stating the reason directly on the delivery note.

Signing the delivery note without reservation is equivalent to declaring that the parcel has been received in perfect condition. In such cases, it will not be possible to make a claim for a refund.

FAILED DELIVERY

If the Customer changes the delivery address after the ordered products have been shipped, the Customer will be charged for the cost of the change and the new delivery, unless the Customer agrees to collect the shipment personally from the courier’s premises.

If delivery cannot take place for reasons not attributable to the Seller, the Seller will contact the Customer also by email and/or SMS and, if after 30 days from the date the order is available for delivery the order has not been collected and/or the Customer has refused collection, the Seller will assume that the order has been abandoned. For further information, the Customer may contact Customer Service.

If delivery cannot take place for reasons not attributable to the Seller after 30 days from the date the order is available for delivery, the Seller will assume that the Customer intends to terminate the Contract, which shall therefore be deemed terminated. As a consequence of termination, the Customer will be refunded all amounts paid, excluding delivery costs (except for any additional costs resulting from the Customer’s choice of a delivery method other than the standard method offered by the Seller), without undue delay and, in any case, within 14 days from the date of termination of the Contract.

Please note: the transport resulting from the termination of the contract may involve additional costs, which will be borne by the Customer.

The ordered goods depend exclusively on the Customer’s choice. If the goods are refused, BARAZZONI S.p.A. will charge the Customer for the outbound and return transport costs.

The shipped goods will be checked and handed over to the carrier intact and free of defects. BARAZZONI S.p.A. cannot be held responsible in any way for delays or damage attributable to the carrier’s fault.

SINGLE ORDER, SEPARATE DELIVERIES

The Customer may receive the products separately and at different times, for which they will receive separate Shipping Confirmations.


TRANSFER OF RISK AND OWNERSHIP OF THE PRODUCTS

The risks relating to the products shall pass to the Customer from the time of their delivery.

GUEST CHECKOUT

This website also offers the option to purchase products as a guest. With this purchase method, the Customer will be asked only for the information essential to process the order. Once the essential data has been completed, the Customer will be offered the option to register as a user or to continue as an unregistered user.

VAT (VALUE ADDED TAX)

In accordance with applicable regulations, each purchase made through the website will be subject to Value Added Tax (VAT).

RIGHT OF WITHDRAWAL

Withdrawal request timeframe

WITHDRAWAL REQUEST TIMEFRAME

14 days starting from the product delivery date.

The Customer has the right to withdraw from this contract within 14 (fourteen) calendar days of receiving the products without giving any reason. The withdrawal period will expire after 14 (fourteen) calendar days from the day on which the Customer, or a third party other than the carrier and indicated by the Customer, acquires physical possession of the products.

In the case of goods ordered in a single order and delivered separately, the withdrawal period shall run from the physical possession of each product, taking into account the relevant Shipping Confirmation, as set out in the section on the statutory right of withdrawal.

How to request a return / withdrawal

To exercise the right of withdrawal, the Customer must notify the Seller by sending an email to ecommerce@barazzoni.it stating their decision to withdraw from the contract by means of an unequivocal statement.

The Customer must complete and submit the return form available for download at the following link: RETURN FORM

If the Customer exercises this withdrawal option, the Seller will communicate an acknowledgement of receipt of such withdrawal on a durable medium (for example, by email) without undue delay. To meet the withdrawal deadline, it is sufficient for the Customer to send the communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.

The right of withdrawal must be exercised within the applicable deadline and all products subject to return must be sent back. After assessing the condition of the item(s), the Seller will inform the Customer whether they are entitled to a refund of the amount paid. The refund will be made as soon as possible and, in any case, within 14 days from the date on which the Customer informed the Seller of their intention to withdraw from the Contract. Notwithstanding the above, the refund may be withheld until the goods have been received or until the Customer has provided evidence of having sent back the goods, whichever occurs first.

The refund will always be made using the same payment method used to make the purchase.

The costs and risks of returning the products shall be borne by the Customer, as indicated above.

RETURN DELIVERY METHOD

Return shipment via courier. Shipping costs are borne by the Customer.

The products to be returned must be shipped at the Customer’s expense.

The delivery must be made to the headquarters of Barazzoni S.p.A.

It is recommended to choose a trackable shipping service in order to monitor the shipment at all times.

The right of withdrawal must be exercised within the applicable deadline and all products subject to return must be sent back. After assessing the condition of the item(s), the Seller will inform the Customer whether they are entitled to a refund of the amount paid. The refund will be made as soon as possible and, in any case, within 14 days from the date on which the Customer informed the Seller of their intention to withdraw from the Contract. Notwithstanding the above, the refund may be withheld until the goods have been received or until the Customer has provided evidence of having sent back the goods, whichever occurs first.

The refund will always be made using the same payment method used to make the purchase.

The costs and risks of returning the products shall be borne by the Customer, as indicated above.

RETURNS AT BARAZZONI STORES, BARAZZONI POINTS AND HOME BARAZZONI


At present, returns are not available at Barazzoni Factory Stores, Barazzoni Points or Home Barazzoni.

The return must be shipped and delivered to the headquarters at the address indicated above.

All return costs and risks related to the transport chosen by the Customer shall be entirely borne by the Customer, with no responsibility or obligation on the Seller’s part.

The Customer must return the product together with the receipt or invoice received with the Shipping Confirmation.

RETURN DEADLINE

Within 14 days from the return notice / submission of the return form to ecommerce@barazzoni.it

The Customer must send back the products or deliver them to the Seller without undue delay and in any event no later than 14 (fourteen) calendar days from the day on which the Customer communicates their withdrawal from this contract to the Seller. The deadline is met if the Customer sends back the products before the 14 (fourteen) calendar day period has expired. The Customer shall bear the direct costs of returning the products.

The Customer must return the products in their original condition and in the original packaging in which they were delivered, together with any accessories, instruction manuals or accompanying documents. Labels must not be removed.

The Customer shall be liable for any diminished value of the products resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the products. The Seller may refuse to refund products that are deteriorated, damaged or tampered with, whose labels have been removed, or that are in a condition clearly indicating that the products have been used in a manner other than permitted by applicable law.

Unless the Seller, after receiving notice of the exercise of the right of withdrawal, has offered to collect the products, the risks of damage or loss of the products during their return shipment shall be borne by the Customer.

No refund will be made if: 1) the received package contains an incorrect item and/or an item different from the product ordered or to be returned, 2) the product has been used beyond simply opening it, and 3) the products are not in the same condition as when delivered or have been damaged. The Customer must therefore exercise the utmost care when returning products and must take care of the products while they are in the Customer’s possession.

If, after examining the returned products, BARAZZONI S.p.A reasonably believes that the package received contained an incorrect item and/or an item different from the product ordered or to be returned, the product has been used beyond simply opening it, and the products are not in the same condition in which they were delivered or have been damaged, the Customer shall not be entitled to a refund and the products shall remain available for collection by the Customer at the premises within 15 days of receipt of the notification.


If the sales contract concerns multiple products, the exercise of the right of withdrawal may relate to one or more purchased products.

N.B. For the return of defective or non-compliant products, please follow the instructions provided below in the relevant section.

EFFECTS OF WITHDRAWAL

If the Customer withdraws from the contract, the Seller shall refund the Customer all payments received, including delivery costs, if applicable, within and no later than 14 (fourteen) calendar days from the day on which the Seller is informed of the Customer’s decision to withdraw from this contract, subject to verification of the condition of the returned Product.

The Seller will make such refund using the same means of payment used by the Customer for the initial transaction; in any case, the Customer will not incur any fees as a result of such refund. The Seller may withhold the refund until it has received the goods back and verified their condition.

If the Customer benefited from a discount applied to the purchase of the product for which the right of withdrawal was exercised, the refund will be made only with reference to the amount actually paid by the user, and not with reference to the value of the discount code.

The Customer is responsible only for any diminished value of the goods resulting from handling of the Product other than what is necessary to establish the nature, characteristics and functioning of the Product. In any case, the Product must be stored, handled and inspected with ordinary care and returned intact, complete in all its parts, fully functional, together with all accessories and instruction leaflets, with identification tags, labels and any single-use seal, where present, still attached to the Product and intact and not tampered with, as well as perfectly suitable for its intended use and free from signs of wear or dirt. Withdrawal also applies to the Product as a whole. It cannot therefore be exercised in relation to parts and/or accessories (that do not constitute independent Products) of the Product.

PRODUCT FEATURES

The Seller has made reasonable efforts to ensure that the product images on the Website are faithful reproductions of the physical products. However, despite the adoption of technical solutions aimed at minimizing inaccuracies, some discrepancies (for example, color, resolution) between the images and the products may occur due to technical limitations. The Seller shall not be liable for any inadequacies—resulting from such technical limitations—in the graphic representation of the Seller’s products displayed on the Website.

CONFORMITY / LEGAL WARRANTY

Upon receipt of the products, the Customer must verify that they correspond to the items ordered and their conformity with the contract.

Any claim for lack of conformity must be reported to the Seller at the following address: ecommerce@barazzoni.it, including a description and photos of the lack of conformity, as soon as possible and in any case within 8 days of receiving the product.

RETURN OF DEFECTIVE OR NON-COMPLIANT PRODUCTS

The legal warranty is limited to the return or replacement of the product found to be defective. Any other warranty is expressly excluded.

The Customer, or the recipient of the Order, is invited to check the condition of the parcel and the products at the time of delivery.

In the event of parcel anomalies (damaged or opened parcel, traces of liquid, etc.) and/or anomalies in the ordered products (missing, defective or damaged products), or if the Customer believes that at the time of delivery the product is not compliant with the technical specifications stated in the contract, the Customer must immediately contact the Seller by sending an email to ecommerce@barazzoni.it, indicating the product details. The Seller will then provide the procedure to be followed.

To allow the Seller to inspect the item, the Customer must prepare the parcel with the product deemed defective and its packaging, labels, etc., as well as the Shipping Confirmation received by email.

The parcel must bear the wording ONLINE RETURN.

The Seller will arrange collection via a courier.

The Seller will carefully examine the returned product and will inform the Customer, within a reasonable time, of the outcome of the checks carried out on the item.

In the event of a lack of conformity, the Seller will offer replacement of the product or a refund (as applicable).

The refund of the amounts paid or the replacement of the item will be carried out as soon as possible and, in any case, within 14 business days from the date on which the Seller confirms that it will proceed with the refund or replacement of the unsuitable item, at no cost to the Customer.

The amount paid for products returned due to damage or defect, if actually existing, will be refunded in full, including the delivery costs incurred for sending the item and for the return by the Customer. The refund will be made using the same payment method used for the purchase, unless otherwise agreed.

All rights granted to consumers by applicable law remain unaffected.

Mandatory procedure in the event of evident damage to the parcel for its return to BARAZZONI S.p.A.:

If an anomaly is identified in the presence of a representative of the express courier GLS or UPS:

  • Refuse delivery and write clearly and in detail on the courier’s document all reservations regarding the anomaly.
  • Subsequently, send a report regarding the refused collection to BARAZZONI SPA by email to ecommerce@barazzoni.it.

Mandatory procedure in the event of missing, damaged or defective product:
BARAZZONI S.p.A. Customer Service may request information regarding the identity of the Customer or the recipient of the Order and carry out any checks that may be useful. BARAZZONI S.p.A. Customer Service will indicate to the Customer, or to the recipient, the procedure to follow to return the damaged or defective product, or to obtain the missing products.

Once the products have been received, BARAZZONI SPA will verify that such products are actually defective, damaged or not corresponding to the description provided on the Website. If such verification is positive, BARAZZONI SPA will replace the defective, damaged or non-compliant product and send it to the Customer as soon as possible and in any case within 30 (thirty) business days from receipt of the products. Shipping costs will be entirely borne by BARAZZONI.

If BARAZZONI SPA is unable to replace the products within the above term, BARAZZONI SPA will promptly inform the Customer at the email address provided at the time of purchase registration and will refund the Customer the cost of such products and the shipping costs, provided that the Customer supplies proof of the cost incurred to return the products. The price refund will be made by BARAZZONI SPA using the method chosen at its discretion as soon as possible and, in any case, within 30 (thirty) business days from the date it receives the products.

If, after examining the returned products, BARAZZONI SPA reasonably believes that the products cannot be considered defective, damaged or non-compliant with the description on the Website, the Customer will not be entitled to a refund and the products will remain available for collection at the headquarters by the Customer within 15 days of receiving the response.

LIABILITY AND DISCLAIMER

Unless otherwise provided in these Terms, the Seller’s liability in relation to the products purchased on our website shall be limited exclusively to the purchase price of the product in question.

Without prejudice to the above, the Seller’s liability is neither excluded nor limited in the following cases:

  1. Cases of death or personal injury resulting from our negligence;
  2. Cases of fraud or fraudulent activity;
  3. Any circumstance in which it would be illegal or unlawful for us to exclude, limit or attempt to exclude or limit our liability.

Without prejudice to the provisions of the preceding paragraph and to the extent permitted by applicable law, and unless otherwise provided in these Terms, we will not accept any liability for indirect damages, such as:

  2. loss of business;
  3. loss of earnings or loss of contracts;

These provisions do not in any way limit the rights granted to consumers under applicable law.

The Customer declares that they have full legal capacity to act and enter into a contract for the purchase of products and/or services on the Website in accordance with these General Terms and Conditions of Sale. BARAZZONI shall in no case be required to verify the legal capacity of visitors and purchasers of the BARAZZONI Website. If a person lacking the necessary legal capacity (for example, a minor) places an Order on the BARAZZONI Website, without prejudice to the responsibility of their parents or legal guardians for such Order and the related payment, BARAZZONI may refuse to accept the Order.

INTELLECTUAL PROPERTY

The Customer acknowledges and agrees that all copyrights, registered trademarks and any intellectual property rights in the materials or content presented as part of the website are the property of the Seller and of those who have licensed them to us for their use. The Customer may use such material only in the ways for which they have received express authorization from the Seller or from those who have granted the license for its use. This shall not prevent the Customer from using this website to the extent necessary to copy information about the order or Contact details.

VIRUSES, HACKING AND OTHER RISKS

The Customer must avoid any improper use of this site and must also avoid introducing viruses, trojan horses, worms, logic bombs or other programs or materials that may cause technological damage. Without authorization, the Customer must not access the website, the server on which it is hosted, or any other server, computer or database related to our website. The Customer undertakes not to carry out DoS attacks against this website.

Failure to comply with this clause may constitute violations under applicable laws. In the event of a breach of such laws, the Seller will inform the competent authorities and will cooperate with them to identify those responsible for the attack. Likewise, in the event of non-compliance with this Article, the Customer’s authorization to use the website will be immediately withdrawn.

To the maximum extent permitted by applicable law and in compliance with consumers’ fundamental rights, the Seller declines any liability for any damage or loss arising from a DoS attack, viruses or other programs or materials that may cause technological damage to the Customer’s computer, IT equipment, data or materials as a result of the use of the Seller’s website or the download of content from it, or that redirects the user to it.

ASSIGNMENT OF RIGHTS AND OBLIGATIONS

The Contract between the Customer and the Seller is binding on both parties, as well as on their respective successors and assigns.

The Customer is prohibited from transferring or assigning the Contract, or any of the rights or obligations arising from it, in any way without our prior written consent. The Seller shall have the right to transfer, assign, subcontract or otherwise dispose of the Contract, or any right or obligation arising from it, freely and at any time. For the avoidance of doubt, any transfer, assignment, subcontracting or other disposition of the Contract shall have no impact on the rights the Customer has as a consumer, nor shall it cancel, reduce or limit in any way any warranties or liabilities offered by the Seller, whether expressly or implicitly.

FORCE MAJEURE

The Seller shall not be liable for any failure to perform, or delay in performing, any of its obligations under the Contract caused by events outside our reasonable control ("Force Majeure Events").

Force Majeure Events means any act, event, non-occurrence, omission or incident beyond our reasonable control; this expression includes, by way of example but not limitation, the following:

  1. Strikes, lockouts or other industrial action.
  2. Riots, civil unrest, invasion, terrorist attacks or threatened terrorist attacks, war (declared or undeclared), or threat of war.
  3. Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster.
  4. Inability to use railways, shipping, aircraft, motor transport or other means of public or private transport.
  5. Inability to use public or private telecommunications networks.
  6. Acts, decrees, laws, regulations or restrictions of any government.
  7. Any strike, maritime disaster or incident, postal disruption or other relevant transport incident.

It is understood that performance of the obligations under the Contract shall be suspended for the entire duration of the Force Majeure Events. The Seller shall be granted an extension for performance of the Contract equal to the duration of such period. It is understood that, even while Force Majeure Events are ongoing, the Seller will make reasonable efforts to find a solution enabling it to fulfil its contractual obligations.

WAIVER

If the Seller, during performance of the Contract, fails to require exact performance of any of the Customer’s obligations, or any of the obligations provided for in these General Terms and Conditions, or fails to exercise any rights or remedies to which we are entitled under the Contract or these General Terms and Conditions, this shall not constitute a waiver of such rights or remedies and shall not release the Customer from compliance with the related obligations.

Any tolerance by the Seller of a breach by the Customer shall not constitute a waiver of the Seller’s right to react to any subsequent breach.

No waiver by the Customer of any of their obligations under the Contract or these General Terms and Conditions shall be effective unless communicated in writing to the email address ecommerce@barazzoni.it

SEVERABILITY

If any article of the General Terms and Conditions, or part thereof, or any provision of the Contract is held to be invalid, unlawful or unenforceable by the competent authority, such article, clause or provision shall be deemed deleted, while the remaining articles, clauses and provisions shall remain valid to the maximum extent permitted by law.

ENTIRE AGREEMENT

These General Terms and Conditions, as well as any document expressly referred to herein, constitute the entire agreement between the Customer and the Seller regarding the subject matter of the Contract and supersede any prior agreement, understanding or arrangement between the Customer and the Seller, whether oral or written.

Both the Customer and the Seller acknowledge that, in entering into the Contract, neither has relied on any representation, undertaking or promise made by the other party, or implied from anything said or written during negotiations prior to the Contract, other than what is expressly stated in these Terms.

Both the Customer and the Seller shall have the right to remedy any false statements made by the other party, whether orally or in writing, prior to the date of each Contract (unless such false statement was made fraudulently), and the only actions the other party may take shall be for breach of the Contract, as provided for in these Terms.

RIGHT TO AMEND

The Seller reserves the right to review and amend these Terms at any time.

The Customer will be subject to the General Terms and Conditions in force at the time the order is placed, unless a change to the General Terms and Conditions or the Data Protection Policies must be made by law or at the request of a governmental authority (in which case it will also apply to orders already submitted).

GOVERNING LAW AND JURISDICTION

The use of our website and contracts for the purchase of products through this website are governed by Italian law.

For any dispute arising from or relating to the use of the website or such contracts, in the event of legal action, Italian law shall apply.

If the Customer is entering into the Contract as a consumer, this clause does not in any way prejudice rights granted by law to consumers.

NO WAIVER

Any failure by the Seller to insist on the Customer’s compliance with the terms provided in these General Terms and Conditions, or any delay by the Seller in taking steps to enforce its rights, shall not be considered a waiver of such rights or a tacit amendment of the Terms, and shall not prevent the Seller from enforcing such rights at a later stage.

PASSWORD

The password chosen by the Customer is required to access the personal Account. The password must be used only by the Customer, who must keep it with due care and keep it confidential, avoiding sharing the Account with anyone else. The Customer is in any case responsible for any use of their Account, even if improper, unlawful or not attributable to them (e.g., in the event of password theft) until a request to block the account is sent to Barazzoni S.p.A. by email to ecommerce@barazzoni.it
